Study On Risk Management And Control In The Whole Process Of M & A

Throughout the course of the development of the international economic situation,we can see that mergers and acquisitions(M & A),which began in the 19 th century,play a more and more important role in the world economy.The trend of mergers and acquisitions has swept the world,realizing the great adjustment of industrial structure and speeding up the process of economic integration on a global scale.Driven by the wave after wave of global mergers and acquisitions,mergers and acquisitions in China have also developed rapidly from scratch.After the 2008-2009 financial crisis,China's economy has shown a sustained and healthy development trend,we can also foresee a better economic prospects,M & A market may continue to heat up.FH is a traditional manufacturer listed on the main board of the Shenzhen Stock Exchange in 1996,and its industry is made of electronic components.In recent years,with the development of material technology and component technology,electronic and intelligent devices can appear in new form and realize new functions,at the same time,they also create a new downstream market and customers for components,and then pull the shape of the industry.FH,after evaluation,believes that it is difficult to grow rapidly by virtue of the company's implicative development alone,so it must become bigger and stronger through the M & A model.2015,FH Company acquired100% of the equity of ZH Company in the same industry by issuing shares to buy assets,and finally the merger and acquisition was successful,and the performance growth was realized.By studying the M & A case of FH Company,this paper divides the M & A case into three stages according to the time node: before M & A,in the process of M & A and after M & A,analyzes the risks existing in each stage,studies how to deal with the different risks of FH Company in each stage,and summarizes the risk control measures in the whole process of M & A of FH Company.
