| Nowadays,with the continuous development and further improvement of China’s capital market,the relevant laws and regulations are gradually improved.More and more enterprises try to ease the principal-agent contradiction through the implementation of equity incentive plan,so as to achieve the purpose of promoting the development of enterprises.Because of the rapid development of private enterprises in recent years,their equity incentive has been paid more and more attention by scholars.Many private enterprises are experiencing de familialization development needs,so the urgency of equity incentive is particularly strong.However,from the perspective of implementation results,many enterprises only blindly imitate the existing cases when making equity incentive plans.They do not fully understand the purpose of equity incentive,and the formulation and implementation of equity incentive plans are unreasonable,which often lead to difficulties such as difficult exercise of employees’ rights,slow return of funds,and difficult proper valuation,and even cause serious decline of enterprise performance.Therefore,it is particularly important to analyze the successful cases of equity incentive in private enterprises and draw lessons from them.Therefore,the research object of this paper is M group,a well-known private enterprise which quotes professional managers and successfully implements equity incentive.By combining the development strategy stage and development needs of M group,this paper makes a phased research on the current equity incentive plan of M group,and then explores the formulation and specific implementation effect of M group’s equity incentive plan.According to the existing deficiencies in equity incentive formulation found in the research,this paper analyzes and puts forward optimization suggestions.I hope to provide some reference for other private enterprises in the specific analysis of M group equity incentive cases.First of all,this paper introduces the research background and significance of the topic,summarizes the main content and methods of the research,and plans the structure of the article.Then,it summarizes the relevant concepts and theories,selects M group,a representative private enterprise,according to its development needs in different stages,introduces in detail the changes of its equity incentive scheme from 2014 to 2019,and compares the annual report data before and after the implementation of equity incentive and in different periods during the implementation period,Through longitudinal analysis to explore the characteristics and implementation effect of M group equity incentive.Through the implementation effect of equity incentive,this paper summarizes the success and shortcomings of its equity incentive plan,and puts forward corresponding suggestions and safeguard measures.The final conclusion is that the equity incentive scheme has a positive impact on the performance of M group enterprise,but there are still many shortcomings.Enterprises should fully consider their own characteristics and development needs when making equity incentive scheme. |
