| The optimal organization form of modern large-scale enterprises is the enterprise group with perfect functions.While these enterprise groups continue to expand their enterprise scale and business,they often face numerous internal management problems themselves,and capital management is one of the core contents of enterprise internal management.A good fund management model can effectively improve the overall management level of an enterprise group.At present,most mature enterprise groups in the world implement centralized management of corporate funds,realize efficient capital management and operation,and enhance the capital management capabilities of the entire group.After 40 years of development in my country’s reform and opening up,domestic enterprise groups have gradually explored methods for centralized management of funds in line with their national conditions.However,compared with internationally renowned enterprise groups such as GM,Mitsubishi,and Siemens,most domestic enterprise groups have concentrated their funds.There is still a certain gap in management.How to improve the capital centralized management ability of domestic enterprise groups,especially state-owned enterprise groups,has become a key issue that group managers need to discuss and solve urgently.TM Group is a large state-owned coal enterprise group under the Shanxi Provincial State-owned Assets Supervision and Administration Commission.At present,it conducts centralized management of funds through financial companies.This management model has improved the capital operation of TM Group to a certain extent,but there are still specific management details.Some problems,especially when the TM Group is facing a new round of large-scale mergers,are likely to affect the normal development of the new group after the merger.Therefore,this article uses the TM Group as a case to study the optimization of its capital centralized management.First of all,this article sorts out the research results of domestic and foreign scholars on the centralized fund management model,clarifies the advantages and disadvantages of the current fund management models,discusses the characteristics of different models and the applicable group types,and provides theories for analyzing the current status of TM Group’s fund management basis.Secondly,analyze the current status of TM Group’s capital management,elaborate on the operation process of the group’s capital management organization-the financial company,analyze the current status of TM Group’s capital operations,and raise issues such as TM Group’s capital management and capital operation efficiency,and then Analyze the cause of the problem.Finally,in view of these problems and their causes,suggestions and measures for improvement are put forward at the group level and the financial company level. |
