Equity incentives are widely used in modern enterprise management,it can help resolve the principal-agent contradiction between owners and incentives.With the rapid development of market economy,enterprises are facing fierce market and talent competition.Therefore,listed companies in China increasingly use equity incentives to retain and attract core technical talents.Nowadays,the equity incentives of listed companies are becoming more and more mature.The equity incentives of non-listed companies in China are still in the exploratory stage.Due to the characteristics of non-listed companies,the implementation of equity incentives has encountered some difficulties.For example,the shares of non-listed companies cannot be traded on the securities market,the equity liquidity is poor,and the stock price does not have fair prices.Therefore,this article selects non-listed companies as the research object,analyzes different equity incentive models,discusses feasible equity incentive models for non-listed companies,designs equity incentive plans,and analyzes their implementation effects.Based on the relevant theories of equity incentives,this paper sorts out relevant domestic and foreign literature.Based on the characteristics of the steel structure industry,a typical non-listed Company H in the steel structure industry is selected as a research case.Analyze the development status of company H,explore the motivations of the company's implementation of equity incentives,and design a set of equity incentive plans suitable for Company H and explore its implementation effects in combination with the company's operating status and industry development prospects.This article improves the original non-listed company's single equity incentive model.It selects the equity incentive method that combines virtual stocks and preferred stocks that do not need to be listed and circulated to evaluate stock prices.The corresponding incentive measures for employees at different levels of the company can effectively meet the different needs.The research found that before the implementation of equity incentives,fully mobilizing employees to understand the company's equity incentive plan and fully explaining the equity incentive model can effectively enhance employees' understanding of the equity incentive plan,make up for the lack of trust in the company,and make the equity incentive plan truly exert the effect of attracting and retaining core technical talents,mobilize the enthusiasm of employees to work together for the company's development goals.
