| With “the Belt and the Road” initiative rapidly implemented and developed in China.Under the “new normal” of economy,more and more Chinese enterprises go overseas to participate in the fierce international competition and carry out the integration and allocation of domestic and foreign high-quality resources.Overseas investment has gradually become one of the important ways for Chinese enterprises to expand overseas.Looking back on the loss of overseas assets and the failure of cross-border M & A of Chinese enterprises in recent years,how to manage the overseas investment projects scientifically has become a big problem to be solved urgently.Under the modern enterprise system,strengthening internal control can effectively complete the self-restraint and economic supervision of enterprises,and ensure the effective development of overseas investment projects,which is of far-reaching significance to ensure the sustainable development of the group company and achieve business results.At present,the overall internal control construction of enterprises in China is very effective,but there is a situation that the internal control of the company is mechanically applied to specific projects,and the management effect is very little.In this paper,the combination of theory and practical cases is used to summarize the research results at home and abroad.The case analysis is based on Z group’s overseas investment.Z group is a high-tech enterprise of resource exploration.Since the group established the development strategy of focusing on overseas business in 2006,it has carried out a large number of overseas investment businesses,and the internal control of overseas projects has certain representativeness.Based on the analysis of the internal environment,risk assessment,specific development process,information communication and internal supervision of its overseas investment,this paper finds that there are some problems in its internal control,such as insufficient construction of legal system,insufficient supervision of overseas assets,weak information and communication and insufficient internal supervision.In view of the problems existing in Z group’s overseas investment projects,this paper gives the corresponding suggestions,summarizes the general contents in the management,puts forward some methods and suggestions applicable to most enterprises,and provides reference opinions for the enterprise management who is promoting the internationalization process. |
