Since 2012,China's economy has begun to show downward pressure,and traditional industries have been struggling in the development process,especially manufacturing enterprises,which have begun to face problems such as overcapacity,industrial economic restructuring and so on.The growth of manufacturing industry is facing severe challenges.Manufacturing enterprises urgently need to seek breakthrough and transformation,and find new economic profit growth points.However,in the aspect of transformation,traditional enterprises have some natural disadvantages,such as slow action,insufficient executive power and limited thinking mode.Therefore,in order to transform the traditional enterprises,in addition to the difficult self innovation,we can choose to achieve transformation through investment and M&A with the help of capital.Based on the above background,the research question of this paper is how to seek transformation through M&A and explore the specific path of M&A.Due to the obvious decline in the profits of traditional industries,the Internet business of the electric business is affected by the "Internet plus" policy and the popularity of mobile phone,and has been developing rapidly.It has become the biggest breakthrough for many traditional enterprises to seek M&A transformation.This paper mainly takes the M&A of Ecommerce Internet enterprises as an example to study the M&A path of manufacturing transformation.According to the research idea of "asking questions-analyzing problems-solving problems",this paper first proposes the research questions in combination with the actual situation of manufacturing industry in China,and the industry trend of Internet plus manufacturing industry,and provides a basis for the following research through reviewing relevant research literature,sorting out the concept and analyzing the theory.Then,through the analysis and consideration of the characteristics of M&A transaction structure,post merger integration and performance of the cases of manufacturing M&A of Internet enterprises since 2012,we choose typical cases to analyze the specific problems of your M&A of baicaowei as the research object of this case,and deeply explore its M&A motivation,M&A transaction structure design,post merger integration process and performance and risks.The innovations of this paper are as follows: first,focusing on the real cases of M&A transformation of manufacturing industry,highlighting the characteristics of target selection and integration difficulties of manufacturing industry in M&A transformation,and exploring the internal mechanism of M&A transformation;second,combining with this case,analyzing the existing problems in M&A integration,and analyzing the M&A performance and risk based on M&A motivation,and "manufacturing + mutual" The paper puts forward constructive suggestions on the path selection and integration mode of "Networking" M&A mode.Since the policy of capacity building and the structural reform of supply side,the demand for M&A in China is very strong.Many traditional enterprises are actively embracing the Internet plus.However,they are constrained by the asset characteristics and traditional business models of manufacturing industry.Most enterprises are still at a loss as to how to make use of the Internet to achieve transformation.Based on this practical problem,combined with the case study,this paper provides a feasible path reference for the transformation of manufacturing M&A,analyzes the difficulties and hidden risks in the M&A cases,deeply analyzes its internal mechanism,summarizes the general conclusions,and provides reference and thinking for the real enterprises.
