With the continuous development of social production and the continuous refinement of enterprise division of labor,the separation of enterprise ownership and enterprise management has become a frequent occurrence in modern enterprises.There have been many collisions between the managers and owners of enterprises,and the contradictions have become more and more tense and clear.The principal-agent problem thus generated has become a very obvious item that cannot be ignored in corporate governance.In order to ease the contradiction between the two,equity incentive was born.Equity incentive system originated in the United States and is a long-term salary incentive mechanism.After years of development,it has gradually been chosen by enterprises as a tool to deal with the principal-agent problem.The emergence of equity incentive is an incentive mechanism established by enterprises to solve the different development goals of shareholders and managers.Its purpose is to draw the goal of the company's management personnel closer to the goal of the company's management,so that the two stand on the same line of interests and form an alliance of interests.As a result,the company's management personnel will run the company with the same enterprise development goals as the company owner,which will manage the company more efficiently and reduce the occurrence of short-sighted behavior as much as possible.On the other hand,equity incentive is also an effective means to prevent brain drain.For retaining talents and attracting talents,equity incentive is the most commonly used method and is a very good choice for transformation companies or high-tech companies.At present,both at home and abroad,many experts and scholars have analyzed and explored the relevant issues of equity incentive,but there are still many problems when equity incentive is actually implemented in enterprises.The design scheme and effect of equity incentive implemented by the same enterprise in different periods are generally different.Therefore,in order to further study the problems arising from the implementation of equity incentive in listed companies,Company A,which has undergone property right reform,is selected as the research object to study the relevant contents of equity incentive in different periods.On the discussion of issues related to equity incentive,this article mainly adopts the method of literature analysis and case study.First of all,this paper expounds the research background and significance of the research topic of equity incentive,and summarizes the excellent research results of foreign and domestic scholars.Then it introduces the relevant concepts and theories of equity incentive and the main incentive modes.After that,it discusses the background and purpose of the implementation of the equity incentive for Company A,analyzes the problems that occurred in the process of implementing the equity incentive for Company A and finds out the causes of the problems.Finally,according to the problems in the equity incentive of Company A,some suggestions are provided,corresponding conclusions are made,and the defects in the research are reflected This article explores equity incentive directly and clearly through case analysis,using representative companies,which has certain reference value for similar enterprises.
