In recent years,there has been a hit of innovation and a large number of small and micro enterprises founded in China.Those small and micro enterprises have became as a source of promoting innovation and development,providing new energy for structural transformation under the new environment.Although,the rapid growth trend of small and micro enterprises in China has become an important support for the expansion of employment,but they are facing the following problems:the sharp rise of raw materials;the rapid increase of labor costs;the unique capital;the imperfect structure;the difficulty of financing,;financing channels shortage;and the lack of excellent employees.In twenty-first Century,the competition of enterprises,not only is on enterprise resources,is also the competition of employees.Only those enterprises with excellent employees can be more creative and have long-term sustainable development.How small and micro enterprises retain employees and how to retain excellent employees are the difficulties that need to be overcome in the development of small and micro enterprises.Small and micro enterprises have goodlong time employee motivation,so that employees can strive to improve themselves and work hard together with the company to create more values.This paper introduced the related theories of small micro enterprises?employee incentive?equity,and the definition of excellent employee?equity incentive,analyzed the environment of small micro enterprises,then suggested that to give excellent employee equity incentive for their work.Also deep analyzed this act advantage and disadvantage in real,then established the equity incentive model for outstanding salesmen in small and micro enterprises,finally this model is used to make the HB company's outstanding salesmen equity incentive plan.The research ideas and achievements give a good guidance and reference to HB company's excellent salesmen's equity incentive plan,and to other small and micro enterprises when they give equity incentive to outstanding employee.
