Since the reform and opening up,family group enterprises have been developing more and more rapidly.This is not only due to the rapid development of the national economy,but also by the unique characteristics of family businesses.Although family group enterprises have made important contributions to the economic development of our country,but because of the unique characteristics of family businesses,the development of family businesses is also going downhill in recent years.The main reason is that there is a problem in the internal governance of enterprises.It can be said that the effective operation of a company or group is inseparable from good corporate governance structure,and the internal governance structure of a company determines,to some extent,whether a business can develop smoothly or even for a long time.This paper studies the internal governance structure of family group enterprises in detail through case study and factor analysis,and obtains relevant information through questionnaires and literature research.The present situation of domestic and foreign research has been studied and studied,and the internal governance structure of family group enterprises in China has been combed.That the development process of China's family business group has four stages,respectively: the origin stage,inoculation and exploration stage,rapid development stage and growth stage;that the current development of China's family enterprise group has the power distribution and power management characteristics,family characteristics,and found that the introduction of occupation managers system will become the trend the results are also diversified,internal governance.At the same time,through the analysis of the internal governance factors of 200 listed family enterprises,the main factors are obtained.Management incentive constraints,the structure and scale of the board of supervisors,the proportion of independent directors,stakeholder participation,organizational structure,and stakeholder coordination degree.Through these factors,YK group management staff are investigated,and the following problems exist in the internal governance structure of YK group: The talent mechanism of backward,cronyism phenomenon is serious;the group of democratic management degree is low,the lack of management incentive and restraint mechanism;group power confusion,lack of action;the lack of group culture and informal organization role is too low.The following countermeasures are put forward: establishing and improving the employing mechanism and citing professional manager system;improving the level of democratic management of the group,standardizing the salary system,standardizing the responsibilities and responsibilities of the group,laying stress on the functions of the board of supervisors,improving the construction of associations and emphasizing the construction of informal organizations.
