Back in the 1950 s,equity incentives were used by western countries to solve principal-agent problems.China's implementation of the equity incentive plan is relatively late,and the reform in 2005 is the prelude to the implementation of equity incentive by Chinese enterprises.With the continuous improvement of relevant laws and regulations,more and more listed companies start to focus on equity incentive.After main board,medium and small board,gem board,new third board appears on the stage of our country capital market.Because the new third board enterprises are limited in scale and assets,it is more effective for enterprises to attract talents and retain talents.For the new third board listed enterprises,the implementation of the equity incentive plan is very necessary.Unlike the a-share listed companies,the new three board enterprise in the implementation of equity incentive plans without can refer to relevant policies and regulations,in the actual operation more flexible,so it is necessary through the case study to explore new three board company implement equity incentive.This paper studies the equity incentive plan implemented by RS co.,LTD.The first part elaborates the research background,significance of equity incentive and the related research situation of domestic and foreign scholars in this field.The second part is the basic theory of equity incentive,and introduces the concept,main form and related theory of equity incentive.The third part is the equity incentive of China's new third board enterprise;The fourth part is the general situation of RS and the introduction of equity incentive scheme.The fifth part is the RS co.,LTD.,case analysis,equity incentive motivation for the company to implement equity incentive plan and the implementation of equity incentive after the company's financial and non-financial effect is analyzed,summarized the advantage of the company's equity incentive plan,and summarizes the problems existing in the process of the implementation of equity incentive and puts forward corresponding Suggestions;The sixth part is the conclusion and prospect,and summarizes the case study.
