In the background of the era of online games,the mobile online game industry began to play the leading role in 2013.Since 2013,the merger and restructuring boom with a premium of many times has swept through the A share growth Enterprise Market,especially mobile online game development companies.Non-listed high-tech enterprises similar to mobile game development companies,although their enterprise life cycle is in the growth stage,their product life cycle is short,but because of its good development prospects,the growth space is large.It is often acquired by listed companies at a premium of many times,and makes goodwill in the corporate acquisition of the overall value of the proportion of more and more.Everything has two sides,mergers and acquisitions can quickly improve the performance of the company,but blind mergers and acquisitions will also leave serious sequelae:goodwill evaluation risk.Therefore,in-depth research on the goodwill and goodwill evaluation of enterprises is of far-reaching significance to the development of asset appraisal industry in China.Through the example of goodwill evaluation of Ourpalm Company,this paper points out that the application of traditional goodwill evaluation method in the game industry does not take into account the R&D cycle and income fluctuation of the game industry,which leads to a large deviation in the evaluation results.The main reason for influencing the judgment of relevant investors and information users is that(1)this kind of enterprises have just entered the growth stage,and there are few historical data for reference on stable performance.As a result,the future income forecast of this kind of enterprises can not adopt the mature econometric forecasting model.(2)the particularity of the game industry makes it impossible to compare the income with the traditional industry,so it needs to be analyzed through off-balance sheet factors.Therefore,according to the specific periodicity of the products of the game company,this paper modifies the related parameters of cash flow prediction in the evaluation process,and uses the product cycle theory in the company strategy to improve the traditional method in order to improve the evaluation results that can be objective and reasonable,with information reference value.At the same time,the improvement of the evaluation method for the game industry in this paper has certain reference significance for other related industries,such as the Internet industry,the reason is that with the development of high-tech technology in China.In the future,there will be more and more mergers and acquisitions of high-tech enterprises in the growing stage,and more and more of these goodwill evaluation projects will occur.Therefore,this paper can also play a reference value to the future evaluation industry facing this kind of high premium M&A project.
