Abstract/Summary:
With the development of society,there are more and more business contacts among companies,such as M&A,investment or purchase.For the buyer,there are various risks in these business transactions.For example,after signing the cooperation contract,whether the main employees,suppliers and customers will stay;whether the target company's past financial statements are accurate.Therefore,the buyer must make up for the information asymmetry between the buyer and the seller through certain methods,so as to carry out risk management.Due diligence refers to a series of investigations conducted by the buyer on the assets and liabilities,operation and financial state,legal relationship,opportunities and potential risks faced by the target company.Once the risks and legal problems are found through due diligence,the buyer and the seller can negotiate through which party should bear the relevant risks and obligations,so as to avoid the occurrence of risks.At present,the assignment and implementation of due diligence tasks are still in the manual stage.In the case of large-scale due diligence tasks,manual allocation is not fast and timely enough.Enterprises need a high cost to find the right due diligence personnel.In addition,enterprises do not have a quick and intuitive understanding of the implementation of due diligence tasks,and cannot change the response strategy in real time.Through the analysis of the market,it is very feasible to develop a due diligence system using modern Internet technology.This paper introduces the specific process of user's operation on the system,and on the basis of sufficient demand analysis,introduces the design process and implementation method of the system in detail.The main users of the system are enterprises who need to carry out due diligence tasks and due diligence personnel,and the idea of front-back stage decoupling is adopted in the overall architecture design.Among them,the server uses Spring Boot,and the front end uses Vue.js.The system is committed to developing a C2C model due diligence assistance system,which provide an information management system for enterprises and due diligence personnel.
