Equity incentive is a long-term incentive mechanism implemented by enterprises in order to motivate and retain core talents.It is one of the most commonly used and most effective methods to motivate employees up to now.Equity incentives first originated in the United States,and have since developed rapidly in Western countries.After the promulgation of the "Measures for the Administration of Equity Incentives for Listed Companies(Trial)",China's equity incentive mechanism has improved the legal system environment in China,and more and more enterprises have begun to implement equity incentive mechanisms.Although equity incentives have become one of the main ways for many listed companies to motivate employees,because the equity incentive mechanism has been implemented in China for a short period of time,and some companies have not achieved the expected results due to the irrational design of equity incentive programs,therefore,for the above background,It is of great theoretical and practical significance to conduct case studies on companies that have implemented equity incentives.The paper selects the equity incentive of Beijing Huayu Software Co.,Ltd.as the case study object,takes Huayu Software's two equity incentive program implementation processes and implementation effects as the research focus,uses principal-agent theory,human capital theory and two-factor theory,and adopts theories and cases Combined with research methods,supported by financial data from 2010 to 2017,in-depth analysis of the motivation and design features of Huayu Software 's two equity incentive implementations,analysis of the impact of equity incentives on corporate performance,evaluation of incentive effects,and finally Make analysis and suggestions on the shortcomings of equity incentive plan design.The thesis includes the following six chapters on the basis of referring to the existing literature at home and abroad.The first chapter is the introduction,which mainly introduces the research background and significance of the thesis,the research results and research contents of the relevant domestic and foreign literature on equity incentive And methods;Chapter 2 gives an overview of relevant theoretical research;Chapter 3 analyzes the status of software and information technology service industry equity incentives;Chapter 4 is the main body of the case,which explains the background and motivation of the case company Huayu Software 's equity incentive implementation And the implementation process;and the analysis of the implementation effect of Huayu Software,mainly from the in-depth analysis of the impact and evaluation of the implementation of Huayu Software 's equity incentives;Chapter 5 provides relevant suggestions on the deficiencies of Huayu Software 's implementation of equity incentives.Information technology service companies provide some reference and inspiration.Chapter 6 summarizes the full text.The thesis concludes by studying the case: The design of Huahua Software's equity incentive plan has achieved the goals of attracting and retaining talents,forming performance bundles between employees and enterprises,and promoting the establishment of long-term incentive mechanisms.The implementation of Huahua Software's equity incentive plan has had a certain impact on the financial and non-financial performance of the enterprise.
