A Report On E-C Translation Of Shareholders' Agreement

With the development of China's national economy and deepening of reform and opening-up,entrepreneurs at home and abroad have set up joint-stock companies for business development.It is self-evident that shareholders' agreements,as one of the guiding documents stipulating shareholders' rights and obligations,capital holding and other issues of companies play a crucial role in economic and trade activities,which poses demands on translation quality of agreements.This thesis,taking an example of the translation of an English shareholders' agreement,aims to explore skills and methods about E-C translation of legal agreements and ensure that Chinese and English agreements have the same legal effects.Firstly,based on Peter Newark's Text Typology,the author classifies the Shareholders' Agreement as the informative text and discusses how to translate words and phrases,that is,translators should take specific contexts into consideration,carefully distinguish meanings of doublets and triplets or adhere to previous translation for accurate words and phrases.Secondly,this report concludes some translation methods and skills applicable to three kinds of sentences.English passive sentences should be translated into Chinese passive sentences,Chinese active sentences or no-subject sentences.Implicit conditional sentences can be translated into Chinese subordinate complex sentences or progressive compound sentences by adding proper conjunctions.Some translation skills and methods,including division of long sentences,conversion of part of speech,order reversion and reorganization are suitable for translating English compound sentences.Thirdly,this report indicates that cohesion approaches like reference,substitution and conjunction can be used in discourse translation for coherence.Finally,the author summarizes the translation program and hopes that translation skills and methods of English agreements concluded in this report can provide some references for the E-C translation of following agreements and improve translation efficiency and quality.
