A Case Study Of Restricted Stock Incentive In ZJ Company

As an incentive mechanism,equity incentive is widely used in foreign countries.The development of equity incentive in China is short and tortuous.With the improvement of legal system and the maturity of capital market,the implementation of equity incentive is more and more standardized.In practice,more and more companies begin to adopt the incentive model of restricted stock.More and more attention has been paid to the incentive mode of restricted stock.In 2012,the frequency of its use began to exceed that of stock options.The research on it can further promote the development of the incentive mode of restricted stock,improve the research on equity incentive in the capital market,and then improve the long-term incentive mechanism in China.This paper mainly studies and analyzes the restricted stock incentive plan of ZJ company,combining with literature research,case analysis and comparative analysis.First of all,this paper reviews the implementation motivation,implementation effect and restricted stock incentive at home and abroad,then expounds the related concepts and theories of equity incentive and restricted stock incentive,and then focuses on the research of restricted stock incentive plan of ZJ company,mainly including the introduction of its implementation analysis and the analysis of its implementation effect.The implementation analysis focuses on the introduction of the content,implementation situation,implementation function and scheme design of the restricted stock incentive plan of ZJ company.The implementation effect is mainly analyzed from two aspects of financial effect and non-financial effect.Finally,the conclusion is drawn.It is hoped that the implementation of restricted stock incentive plan for other domestic listed companies will be enlightening.
