With the establishment of the modern enterprise system,corporate separation of ownership and management rights,the principal-agent problems appear in the enterprise,equity incentive as a solution,by giving incentive object part ownership,coordination incentive object and the conflict of interest between shareholders,the incentive object while maximizing shareholders’ interests,to maximize its own benefits of exercise,The benefit coordination effect,arouse the enthusiasm of the work incentive object,increased its risk bearing ability,fully reduce the agent cost,won numerous recognition of listed companies,equity incentive are also used to retain and attract talent,is essentially for enterprise long-term development.However,whether equity incentive can play a positive role in the development of the company,the academic community has not reached a consensus.In fact,equity incentive is a means of improving corporate governance,the emphasis is on how to apply,in the efficiency of the company’s internal management and external management environment after investigation and conform to the enterprise development strategy of the equity incentive plan formulation,will help the company grow,and how to formulate appropriate equity incentive plan,is the implementation of equity incentive of listed companies is the most concern,It is also the research direction of this paper.Based on equity incentive motivation and the effect of related research to comb,using longitudinal case study,the research of target enterprise all previous equity incentive plan,in order to solve the principal-agent problem,promote enterprise innovation,and improve the motivation of enterprise value as a starting point,studies the configuration scheme contract elements and combination in incentive target under the effect of enterprise management,Analyze whether the case enterprise can achieve the incentive target under the specific incentive motivation.The research finds that the implementation motivation of equity incentive determines how to formulate the plan,and whether equity incentive is effective depends on whether the plan fits the enterprise development strategy,and the appropriate arrangement of contract elements can restrain and motivate the incentive object and promote the enterprise development.The research results of this paper provide suggestions for the setting of contract elements of equity incentive scheme,verify whether equity incentive can have a positive effect,and have certain reference significance for the implementation of equity incentive listed companies. |
