With the development and extension of the economic globalization,the competition between enterprises is becoming increasingly intense,the enterprise in order to maintain the core competitiveness of its own,only to expand the scale,through mergers and acquisitions,to create a new company to build the enterprise group,and many large enterprises came into being,and the parent company has become stronger and make the main organization form and the road of development.The parent company to achieve the group's overall development goals,to maximize the benefits for the enterprise property rights as a link to each other's power is divided into control core,follow the "management philosophy group contingency management and collaborative operation",the corporate governance structure,strategy,performance,culture and information etc.the subsidiary management control.The management control of parent subsidiary companies is becoming more and more important in the sustainable development of the group enterprises,and is also the focus of this paper.XY Building Decoration Engineering Group Co.,Ltd.(The following is called XY group)is approved by the State Department of housing and urban rural development in the building decoration engineering design and construction integration Yiji,building curtain wall engineering design and construction integration Erji,metal doors and windows engineering professional contracting Erji,building steel structure engineering contracting Erji qualified enterprises.Due to the rapid development of the group's management and control of the parent subsidiary company,there are many problems,which seriously restrict the development of the group.The number of sub-(sub)companies in the group is too many,and the competition is serious,which is not conducive to exert the scale effect and synergistic effect.In the corporate governance structure,the group established the board of directors and the establishment of the rules of procedure,but did not set up the board of supervisors,professional committee set up there are problems.The function of the group is located in the strategic decision-making,service guidance,control coordination and management,which is the need of historical development but is not adapted to the current business of multi industry enterprises.In the control mode selection,the group is too centralized,reducing the company's autonomy,the management and control of the parent company has been reflected in the control,but it is not in place.Guided by the theory of management and control of parent subsidiary companies,this paper has carried out the optimal design of the management and control system of the parent subsidiary company of XY Building Decoration Group.First,this paper analyzes the architectural decoration industry overview,industry characteristics and development stages,the structure and function of positioning and XY group's parent company organization analysis control management status of XY group;secondly,this paper analyzes the influence factors and the influence of parent company's control system from the perspective of the parent company,organizational structure,corporate governance structure control mode;finally,starting from the design principles and ideas,put forward the mixed control mode,enhance the parent company advantages and make the management control,to ensure that the business means of supporting from strategy,culture and human resources,to better achieve the sustainable development of the XY group.
