In the age of innovation,high-tech enterprises urgently need to improve incentives and optimize the salary system.This is to attract talents,to improve staff motivation and to enhance enterprise core competitive ability.In order to achieve these goals,the equity incentive as a long-term incentive mechanism is introduced by many high-tech enterprises.T information enterprise is the leader of our country education service and mobile game market.In order to adapt to the fierce market competition,this enterprise launched the equity incentive plan with a purpose of improving the cohesion of the company's personnel,attracting more high-tech talents and outstanding management talents and combining the interests of shareholders and managers and combining company long-term interests and immediate interests.In this paper,on the basis of theory of equity incentive,combining the current related policy laws and regulations,T information company's twice equity incentive plan in 2010-2016 were analyzed.T information company's first stock option incentive plan forced to terminate because of the strike prices higher than the market price,performance goal was not exceeding the expectation.The second stock incentive plan executed on schedule,but the effect of enhancing company long-term performance and steadying excellent staff is far from expected.This article through analyzing share price performance,the horizontal and vertical of the T company performance,incentive object's departure ratio,come to the conclusion that the equity incentive effect is not good.There are five problems:first,insufficient knowledge of implementation environment;second,mode of selection single;third,the conditions of the exercise unscientific;fourth,the narrow scope of objects;fifth,time limit of incentive is short.In combination with the practical situation of the company as well as access to a large number of data and draw lessons from the successful experience of other enterprises,this article designed a set of equity incentive optimization scheme,and puts forward safeguard measures for the effective implementation of the optimization scheme.The details are as follows:selecting the incentive mode according to the actual situation of the company and incentive objects;classifying the incentive objects,expanding incentives for technical developers;according to the employee's value assessment award the number ofincentives;introducing non-performance indicators and contrast industry level;the time limit extending;putting forward suggestions for the implementation of the optimization plan from the company level and social policy,improving the corporate governance structure,implementing supervision,normalizing policy,strengthening market construction.The research results of this article can help T company to maximize the incentive effects of equity incentives.Moreover,T company as the information technology enterprise in small and medium-sized boards of listed companies,the study of its equity incentive plan can offer certain reference significance for other companies,and can enrich the research of equity incentive case analysis.
