With the theory and practice of domestic equity incentive mechanism of continuous improvement and development,more and more listing Corporation to implement equity incentive in China,which will be an important system hot and study of the theory of governance. Equity incentive as a long-term incentive mechanism is introduced from the western countries, the executive incentive, corporate governance structure has the enormous impetus,effectively solve the agency problem of listing Corporation produced by the separation of management and ownership,personal interest and the executives of the company’s long-term interests together, realize the effective encouragement to company managers.In this paper,combined with China’s new market environment background,makes a systematic research on the issues related to the current domestic listing Corporation executives equity incentive:The paper first introduces the concept,the equity incentive mechanism and model, and then discusses the theories of five kinds of equity incentive: the principal-agent theory,the theory of separation of two rights,etc.On this basis, analysis of the specific and comprehensive system for the implementation status and effect of equity incentive plan of China’s listing Corporation from the industry distribution,incentive mode,source of stock,period of validity, incentive proportion,etc.Then take the A Limited by Share Ltd(Hereinafter referred to as A) as an example, the implementation of the development of the company and the executive equity incentive plan,through the analysis of the deep the equity incentive process,summarizes the main features of the implementation of equity incentive system of the company,put forward its worth learning place,also points out its equity incentive scheme defect.Finally,the existence of China’s listing Corporation the implementation of equity incentive system problems and puts forward policy suggestions of macroscopic and the microscopic two aspects.At this stage,the implementation of equity incentive to be endemic to China’s capital market environment,economic environment,manager market and other factors in China’s listing Corporation,and the implementation of equity incentive in our country is still relatively short time,a comprehensive analysis and research of this thesis is beneficial to add depth to the equity incentive theory relevant to understanding; on the other hand, in our particular environment, study the implementation of listing Corporation equity incentive system and the existing problems for a listing Corporation in the equity incentive programs fit their own characteristics to determine a reasonable target,maximize the effectiveness of human resources equity incentive.
