Family enterprise as human old organization, with fresh vitality. Development so far,the enterprise is still the main active in the economy of the organization, and the team is also very large, the family also controlled the part of the listed companies and Multi-National Corporation. Looking back over the past few decades, the development of family business in our country can be said to be a microcosm of China's rapid economic growth, which has a strong entrepreneurial spirit shocked the world, the family business can survive in the early reform and opening up, and rely on the family has the innovation,dedication and solidarity. Many family enterprises are now famous. However, all of the things in the development process will encounter obstacles, the family business in China's growing process, gradually exposed the problem of governance, this problem is very difficult, but also gradually enlarged, the progress of the enterprise.This paper will analyze the problem of governance in family business as the main line,with the help of theory, norms, comparative analysis, through the management theory, life cycle theory, etc., to study the governance of family business in our country to provide a certain basis, around the problems in the family business in china. On the basis of this, the family enterprise in China as the starting point, the family business definition,characteristics, development model, etc. Through the analysis, we find that the family enterprise in our country has lost the original trend along with the development of market economy, and it is faced with many problems, which include: not clear internal property rights, unreasonable ownership structure, a single capital structure, not smooth financing channels, the use of the only pro, the lack of good corporate culture and the existence of problems. In view of this problem, the author puts forward two aspects of the improvement measures. First, the family enterprise internal governance, and put forward the perfect measures. Which includes: to overthrow the property rights, the development of diversified ownership, optimize the management structure, promote management innovation, re position the board of supervisors and the board of directors, strengthen supervision, and change the management concept of short-term profit, attract external talents, and build a perfect system of the constraints of the traditional culture, the construction of innovative corporate culture. Secondly, to improve the governance of the family business. Measures include: to build a perfect manager market; improve the capital market construction,optimize the financing channels; build perfect laws and regulations, strengthen the integrity of the legislation.
