After the reform and opening up, China’s private economy have obtained rapid growth, and emerged a large number of small and medium-sized private enterprises. Although middle type private enterprises grow rapidly, private enterprises bankruptcy rate is high, and it is difficult to become bigger and stronger. The majority of private enterprises are family enterprises in our country, the family culture of family enterprises is relatively closed, and the governance structure is relatively simple. They are unable to adapt to the family enterprises rapid expansion. How to build a scientific management mode becomes the key to the development of the family business.In this paper, we take a family enterprise in Human as a research object to analyze the problems in its governance, through on-the-spot investigation and interview with employees to study the status quo of the governance of H company, and found the main problems of governance, and put forward some specific suggestions and countermeasures to optimize the governance mode. Firstly, this paper analyzes the research background and research significance of this paper, in the reading of vast amount of literature on the basis of the predecessors’ study on the review, provides a theoretical basis for this study. Secondly, taking H company in Human province as the research object, based on the investigation to the H company, it has a detailed description of H company governance status quo from the ownership structure, governance structure, management and ownership, family culture characteristics and so on, and finds H company within relatively closed family, crony of choose and employ persons, unscientific decision-making mechanism and incentive mechanism and so on, and also sums up the H company within advantages such as low principal-agent cost and supervision cost, flexible decision making and operating mechanism, low cost of human resources. Again, after the comprehensive understanding the advantages and disadvantages of H company governance pattern and the actual situation of H company, it puts forward some measures such as optimizing equity structure, perfecting the governance mechanism, establishing a professional manager system and setting up scientific incentive mechanisms of choose and employing persons to optimize H company’s governance structure. Then, it puts forward the measures to ensure optimal governance structure from the organization structure, sound system and building the corporate culture of open inclusive. Finally, on the basis of an overview of the full text, through case analysis of H company it gets enlightenment.
