The traditional enterprise outlook of “shareholders first” pushes many enterprises only care about the narrow-defined and traditional index of economy and finance, which causes lots of internal and external conflicts and troubles. For instance, workers ask for higher wages while shareholders require lower worker benefits; clients ask for some extra services while companies refuse the request with the reason of increasing costs; despite the opposition put forward by local residents, companies determine to expropriate a cheaper vacancy area as their factory site. Among all the troubles above,many of them are contradictory. Many enterprises find it is extremely hard for them to handle with, however if problems were not well solved, other troubles would follow immediately. Consequences would vary from the quality of products and production efficiency been afflicted to the instability of production team and the team spirit been demoralized, and the bankrupt of a company at worst. The outlook of “shareholders first” receives more and more doubt and questions because of its paradox in its management theory and practice.W company is a typical company with outlook of “shareholders first”. It paid too much attention on shareholders' interests so that ignored the interests of other related parties or stakeholders, which leaded increasing internal conflicts and some other troubles with external suppliers. Taking W company as an example, this thesis explores problems within the management of shareholders, then analyze these problems with some related theories and tools, and puts forward suggestions for the management of shareholders according to the analysis has been made. The core structure of this thesis is as follows: firstly, explains the challenges of hardware industry, the opportunities of W company, and the specific problems in the shareholders management of W company in the case description part. Secondly, by analyzing these problems with Stakeholder Analysis, finds out the stakeholders of enterprises, and analyzes their characteristics, preference, and dependency relation and exchange characteristics. Thirdly, according to the development strategy and stakeholder management model of W company, this thesis puts forward some feasible ways of cooperation and governance mechanism for enterprises to choose under different market features.Enterprise is the place where its stakeholders to achieve their interests and rights and interests conflicts are inevitable among stakeholders, therefore leaders and managers need to balance the interests among stakeholders, avoid possible interests conflicts,guide stakeholders to cooperate effectively, so to achieve the goal of the enterprise and achieve their interests and rights. It is the core business of stakeholder management to achieve the goals mentioned above. These types of cases are not unusual in enterprises competition. This thesis provides a universal law for enterprises to manage their stakeholders of different cooperation relations under different market circumstances and to achieve a win-win situation.
