In recent years,CNOOC cross-border acquisitions pace is gradually accelerated,enterprise in February 2013 26 proceeds of $19.4 billion in mergers and acquisitions nexen,a Canadian firm,to succeed,for CNOOC today the first big foreign acquisitions.In 2005 June,CNOOC in claiming the American oil company especially Nico acquisition after the failure,just over 8 years,again with Nixon for mergers and acquisitions(M & A)of the total equity.Facing a group of harsh M & A requirements and the integration of harm each other are able to integrate it into effect,how to maintain the performance of the enterprise grow better and resolved after the merger did not know the harm.All of the above need further research.In this paper,literature research and case data analysis are used.First,through the related literature analysis and summary,fully aware of the major theoretical and practical situation of enterprises and cross-border M & A performance relationship for the cross-border M & A thesis Motivation and performance analysis of the company lay a good theoretical basis;Then,CNOOC the company's cross-border M Canadian Nexen based on practical cases,the analysis of the company's cross-border M & a motivation,but according to the company's financial reporting and accounting data indicators,analyze the impact on cross-border mergers and acquisitions business performance and summarize cross-border M & a case of Revelation.This paper structure is divided into six parts,namely six chapters.The first chapter is the introduction.Introduction comprises four parts,namely the topic of significance and background,literature review,research ideas and methods,framework.The second chapter is a transnational enterprise acquisition motivation theory and performance analysis overview.They introduced the concept of cross-border M & A and motivation,cross-border M & A performance analysis overview,including M & A performance concepts and cross-border M & A performance evaluation methods,as well as the theoretical basis of cross-border M & A Motives and performance analysis for the following expansion provides a solid theoretical basis.The third chapter is an introduction to the whole case.The first is the acquisition of both companies before,followed by the introduction CNOOC acquisition of CanadianNexen process(including the acquisition of the background and the program),and finally describes the CNOOC acquisition of Canadian Nexen features.The fourth chapter is CNOOC acquisition of Canadian Nexen Motivation,analyzed separately from the external environment and internal environment of the two levels of the company.The fifth chapter is CNOOC acquisition of Canadian Nexen performance analysis,originally from corporate solvency,profitability,growth,operating capabilities of the four aspects of comparative analysis of performance before and after the acquisition of CNOOC,CNOOC's overseas acquisitions and the impact on the performance reasons for analysis.The sixth chapter is the revelation of this case study after.From the government level,it should strengthen policy,financial support,to create a favorable external environment;on their own level,to fully estimate the transaction and integration needed funds,mergers and acquisitions to maximize the synergy effect,post-merger integration can not be ignored.
