With the sustaining development of Chinese economy, cross-border mergers and acquisitions has become a main approach for Chinese companies when investing abroad. This paper regards Chinese enterprises'launch and implementation of overseas M&A as a systematic project in the context of tremendous changes in both national and global economic environment. By adopting comparative study, systematic study, case study and mathematical modeling study as research methods, it starts with value chain theory, the basis which constitutes competitive advantages for company, and further analyzes the motives and modes.
