Nowadays, traditional business model of commercial bank s, which puts the main emphasis on the deposit and loan revenue, can not maintain the healthy development strategy continuously. Thus, the promotion of the interest rate marketization provides new opportunities and challenges for large commercial banks to transform the operation and management. With the increasingly stringent bank regulations and the importance of ordinary shares in regulatory capital, the capital cost of commercial banks will be improved. Capital supplementary depending on issuance of stocks and bonds can not be sustained. Financial disintermediation is reduci ng the company dependence on banking credit. Meanwhile, the rapid development of the internet and cloud computing technology brings more and more challenges to the physical network of commercial banks. Based on above factors, the rapid development era of commercial banks is over. The model of the rapid growth relying on high cost and credit will not become a bank's focus. The changes in turning quantitative growth into structure optimization, efficient management and risk control technology is the future direction for commercial banks to response to the competitive environment, market supervision, financial disintermediation and interest rate marketization.Based on the theoretical studies of the definitions, causes and principles of commercial bank's operation and management transformation, this paper analyses the factors in operation and management transformation of China Construction Bank Hunan Branch and gives strategic choice suggestions through the introduction of its current operation and management si tuation and the financial development in Hunan province. In this research, we used the data analysis, comparative analysis, SWOT analysis and so on, and also combined the theories in empiric studies, quantitative and qualitative analysis. The results show that China Construction Bank has made some reform achievements, but it is not enough to deal with various aspects of the new situations. There are still many problems in operations, management and risk control. But the commercial banks are also facing development opportunities from the market and regulation. China Construction Bank Hunan Branch should take full advantage of its strength, make up for the insufficient and seize the market opportunities to meet the challenges. A series of restructure measures such as increasing non-interest incomes, optimizing the customer structure, strengthening the human resources management and improving the level of risk control, are the important goals in operation and management transformation of China Construction Bank Hunan Branch.To adapt to the new situations, trends and requirements, and also keep pace with the sustainable development and take the size, quality and efficiency into account, China Construction Bank Hunan Branch should accelerate the transformation of operation and management with the sense of crisis and responsibility. It makes great sense to sustain competitive advantages, improve value creations and achieve a new historical leap.
