In enterprise merger and acquisition activities, the synergy effect is the key to the success of enterprise merger and acquisition, and the use of synergy effect analysis of the problem, but also the development of enterprise merger and acquisition can not be avoided. The research of these problems can better guarantee the realization of the purpose of the merger, but also the way of the sustainable development of the enterprise.In this paper, the case study method, through the analysis of the merger and acquisition activities of the central enterprises B Limited by Share Ltd and Ningxia A Refco Group Ltd, combined with the theory of synergy, the analysis of the strategic integration of the enterprise. In this paper, firstly the basic theory of the case are introduced, specifically related to the concept of merger, the synergy theory, summarizes the integration strategy of mergers and acquisitions, mergers and acquisitions; case part through the background process of enterprise merger & acquisition is introduced, the integration of enterprise organization goal, management strategy, overall strategy, clear company strategy integration process the final combination of enterprise merger strategy; collaboration performance evaluation, the newly established after the merger of Ningxia C Group Company Limited synergy to improve the performance, puts forward some countermeasures and suggestions from the perspective of internal coordination and external coordination angle such as the integration of enterprise culture, and optimize the management structure, the adjustment of industrial structure, enterprise alliance cooperation perspective.It is hoped that the research results of this paper can provide a series of countermeasures for the integration of Ningxia C Group Co.Ltd, and provide some guidance and reference value for other enterprises’ Merger and acquisition. |
