Research On The Commercial Registration Systemunder The Background Of The Reform Of Commercial System

The system of commercial registration is a important system in the modern commercial law which protects the trading security and the legitimate rights and interests of the consumers and commercial subjects. Since the People’s Republic of China was founded, the commercial registration system in China experienced the continuous improvement process.It play an important role in serving the social and economic development and constructing competitive and orderly market environment. Along with the deep reforming and opening up, globalization and internationalization of commercial subject cooperation, commercial activities has become more diverse and complex.But the Chinese commercial registration system is already unable to meet the needs of the times, also constrained the development of the Chinese economy and hindered Chinese economy integrating into the world economy. Guangdong Province firstly start the reform of commercial registration in the 2012.Guangdong Province put a series of policies into effect, such as applying the business license before the business certificate, subscribing registered capital, relaxing the restriction of registration of residence. In 2015, the central government also proposed the decentralization and promoted the pace of the commercial system reformation to establish a modern commercial registration system.The new commercial registration system aim to remove the shackles to the development of the market economy, activate the life force of the commercial subject,create an international rule of law of the business environment, promote public entrepreneurship and public innovation. However, the reformation is still in the exploratory stage. Many of the reforms have not yet been supported from the legislative level. It should be further theoretical studied to indicates the direction for registration system reformation.Combined with research of domestic and foreign commercial registration theory and using case study method, this paper analyze the commercial registration system reform practical experience in Guangzhou Province, especially in Shenzhen, Dongguan, Zhuhai, and elaborated the change after the registration system reformation.Based on the practical experience of registration system reformation, the thesis also analyze the impact of registration system reformation on company registration and regulatory status.Finally, the paper put Put forward some suggestions on the improvement direction and suggestion of registration system reform.
