In 2007, Bank of Beijing, Bank of Nanjing and Bank of Ningbo has landed domestic capital market successfully. After the three city commercial banks listed, there have no city commercial bank have listed successfully for eight years. Because of the historic and other reasons, lack of capital, chaos of structure, high risk becomes an important factor of hindering listing for China's city commercial banks. city commercial banks.So according to its own characteristics to develop an appropriate listing program is particularly important. Based on the Bank of Shanghai as a study object, this paper used both quantitative and qualitative research methods. From the overall situation of city commercial banks, analysis the necessity of listing of Bank of Shanghai and the feasibility based on the SWOT analysis. And then, put forward a scheme including the place of listing, the listing models, issue amount, issue price, and put forward the internal and external security measures to ensure the program implement smoothly.The main conclusions of this paper are: Shanghai bank should seek to apply for a single listing in the domestic capital market. Considering its own capital, the market price earnings ratio and its own earnings per share to confirm the reasonable issue size and price. And while trying to meet the requirements for listing, Shanghai bank should continuing to make use of its advantages in regional characteristics, relying the good situation of the national economy and strong support from local government, to constantly improving their own governance structure, strengthening risk management and strengthening the talent pool.
