Securities investors are an important subject of the securities market's activities,participants in securities trading. Therefore, it is outstanding tasks to protect their rights and interests in the development of the stock market.As an emerging market, we have a lot of problems in the protection of investors' rights and interests, such as the inside dealing, market manipulation, the false information disclosure,etc. Because the lack of legal protection mechanism, Investors are always suffer from illegal infringement which results in investment losses. It is bound to have a negative impaction on the development of securities market and hurt investors' confidence. The third chapter analyzes and compares investors' rights and interests protection system among our country, the United States, Japan and other countries,introduces the practice and experience in other countries, put forward suggestions for reference according to actual situation in our stock market. The fourth chapter introduces the current situation of securities investors' rights infringing and the shortage in related legal system, analyzes securities investors' rights and interests protection on the right to know,voting rights, profits distribution, related transactions, information disclosure, supervision system, civil system, litigation and judicial relief, tries to find the key problem of protection of securities investors' rights and interests.In the fifth chapter, through the analysis of each problem proposed before, and learning from successful experiences in abroad market, the paper puts forward the Suggestions for improving securities investors' rights and interests protection in our country from many aspects, such as perfecting legal system and regulations,corporate governance, strengthen supervision, rights relief, Chinese measurement system and other related mechanism, and so on.
