The real estate industry is a high-risk high-yield coexist. In 2013 the market between banks appears "Money shortage",exhaustion of market funding and the HSBC PMI data, as well as complex economic environment, all of these are new challenges to internal control and risk management of real estate enterprises. For internal control policies, Chinese government introduced promulgated "Essential Requirements" and three supporting guidelines to support the market, which forms tixe basic theoretical system framework of internal control with Chinese characteristics. However the scope of the relevant specifications and guidelines issued by the executive are very limited: it requires a implementation of listed companies encourage a early implementation for the large and medium enterprises and a reference implementation for the SME. In this paper, it takes a non-listed real estate company as a case to analyze its internal control system. With this analysis, we can improve the management level of the enterprise by providing advice and recommendations to its authorities, on the other hand we can offer suggestions for the non-listed real estate enterprise at the same size in control system design.Firstly, through the introduction of the current status of internal control real estate industry, and discusses the significance of establishing a risk-based internal control system in our country; and then, by current research studies to understand the situation of the internal control system, and focuses on the internal control theory and risk management theory, explores the links and differences between the two. Followed by a discussion of the current and medium-sized real estate enterprises in the internal control system from the Perspective of Risk Management, describes the internal build basis, building principles, procedures and internal control evaluation system to build and so on. Finally, the use of medium-sized real estate company internal control theory, A real estate company’s internal controls applied research, focuses on A real estate company’s risk-based internal control situation, find out the cause of these status quo. Based on the status of the company’s internal control exist, proposed the construction of real estate A risk-based internal control system, and finally, through A real estate company internal evaluation of the effectiveness of the internal control system for continuous monitoring of improvement.
