In the new economic and political conditions, the world financial industry is experiencing a profound change. The increasingly fierce competition in the international market, more in-depth development of the integration of market economy, merger and acquisition (M & A) is recognized by international business efficiency is high, the more rapidly the rapid expansion of, through the survey found that every large enterprises the growth process are and M & A has a close relationship. The face of the rapid development trend of the world economy, mergers and acquisitions and ultimately improve the overall efficiency of the enterprise, namely "1+1> 2" synergistic effect. Although China’s M & A market increasingly active, but also should be aware than there is still a wide gap with western developed countries, especially in the field of mergers and acquisitions, as well as the merger and acquisition integration development etc.. Therefore, to China corporate mergers and acquisitions activity study of synergistic effect is more guidance. The peace group and Shenzhen Development Bank M & A in the process of study on the synergetic effect, refinement of management synergy, operating synergy, financial synergy effect these three aspects of research, the collaborative study on the effect of China’s financial industry mergers and acquisitions for the deepening of, have certain innovation.China Ping An Group and Shenzhen Development Bank Mergers and acquisitions this historical event is not only a great feat in the finance industry of our country, and for the development of the socialist market economy, is generally not practical significance. China Ping An Group and Shenzhen Development Bank of mergers and reorganization of the basic objective is, optimization and integration of both parties of the business resources and enhance the competitiveness of both sides to better against into China’s financial market, foreign banks brought about by the impact, so as to gain a more extended far good development. This paper of Ping An Group and Shenzhen Development Group after the merger synergies are studied, and then analyzes the cooperative effect on development of role, so that the mergers and acquisitions seven years to us after new inspiration and reference.This paper mainly to Ping An Group mergers and acquisitions of Shenzhen Development Bank as the research object, using the method of literature research, case analysis, research methods, the use of enterprise mergers and acquisitions synergy effect theory and economies of scale, market power, transaction cost and related theories. First of all, this paper describes the background of the two parties and the causes of M & A. Then, the management, operation and financial synergy effect of Ping An Group and the Development Bank of Shenzhen before and after M & A are analyzed. And further analysis of the two merger brings the economic effect, and can be seen in Ping An Group and Shenzhen Development Bank after the merger, both the Acquisition Synergies realized in good condition, the two sides initially achieved reduce the management ability of the transfer, to enhance the operational capacity, management fees; and enhancement of the overall competitiveness of the two sides, the profit level of ascension and economies of scale to achieve; the debt paying ability promotion, the financial costs decline, reasonable tax avoidance effect. In summary, initially achieved the expected purpose, the new Ping An Bank and Ping An Group in the main business data indicators have achieved a change, the integration of the two sides effect is very significant. Finally put forward related suggestions, to the future of other financial groups to provide some useful reference for the merger.
