With the continuous development of market economy, mergers and acquisitions, as a common economic behavior in market economy, also often appear in our country and the range is more and more widely.But the existing research finds that after the merger between enterprises, their success rate was only about 30%, the integration after M&A did not reach the expected effect was the main reason for the failure of mergers and acquisitions. By analyzing the existing cases about merger integration, this paper finds that the existing research mainly has the following two aspects of the insufficiency:firstly, the existing research mostly focused on larger scale, high-profile mergers and acquisitions between enterprises behavior; secondly, researchers were facing a widespread restrictions on access to relevant information, difficult to comprehensive, detailed reflect the whole scale of the M&A integration between enterprises behavior.In view of this, the paper detailedly arranges the related theory in the past few years in risk, process, model, content of M&A integration. Basing the related theory,considering the availability of information,the author uses of the advantage position, chooses the case of YanTaiBingLun group co., LTD. merges Shandong ShenZhouRefrigeration Equipment Co., LTD,analyses its M&A motivation, process and integration in turn, finds that the main reasons for the failure of mergers and acquisitions are bad M&A integration between enterprises, particularly in terms of cultural integration and strategic integration. Finally, the paper bases on the above theoretical research and case analysis, puts forward three points for attention of the M&A in the future:firstly, cultural integration should be set up separately; secondly, it is a must to pay attention to the strategic goals; thirdly, M&A should be regarded as a continuous, dynamic process of change.
