Based on some related literatures on the technological innovation and industrial upgrading, we focus our study on the co-movement between technological innovation and industrial upgrading. First of all, we study the path of the United States, Japan and Germany’s industrial upgrading, which is driven by technology innovation. After the analysis of the current situation of china’s industrial development, we get a simple outline of china’s industrial upgrading path. Second, we discuss the impacts of technological innovation on industrial upgrading and the impacts of industrial upgrading on technological innovation. Through this discussion, we come to a conclusion that technology innovation and industrial upgrading have a relationship of mutual connection and restriction. Under this background, we discuss the effect factors of industrial upgrading under the view of technological innovation. Finally, we analysis the impact of international technology spillover of international trade on china’s industrial upgrading. Our samples include more than30industries in china, and we take6kinds of calculation methods of foreign R&D capital.Through the analysis above, we come to some conclusions:technological innovation is the fundamental driving force of industrial upgrading. At present, our country not only needs the reformation of traditional industries by high-tech industries to realize inter industrial upgrading, but also needs to realize inner industrial upgrading of manufacturing industry; Independent innovation input directly affects the rhythm of China’s industry upgrading, however our country R&D efficiency needs to be improved, R&D expenditure structure also needs to be optimized; China is lack of technological innovation ability, many core technologies have overdependence on foreign countries, the lack of independent innovation ability makes china unable to form long-term core competitiveness; Compared with the developed countries, China’s technology innovation has a small effect on industrial upgrading, China’s industrial upgrading is mainly driven by capital investments, but China has the dividend of reform; Under the background of international trade, China’s domestic investments in independent innovation play a significant role in driving China’s overall industrial upgrading, the influence of the foreign technology spillovers on China’s industrial upgrading is uncertain, however, foreign technology spillover has a good effect on China’s high-tech industry upgrading. Therefore, China should increase investment in independent innovation efforts and strengthen the cooperation with developed countries in high-tech industries.
