The 21st century is the era of knowledge economy,competition in the market changing fast, for enterprises to master the knowledge means master the core competitive ability, so that they can be in an impregnable position in the competition, so companies need to constantly update knowledge to improve their competitiveness; The schools have natural advantages in human resource and knowledge,at the same time also has accumulated fruitful research results. Schools want to make knowledge commercialise and valuable, and the enterprise needs human resource and knowledge to improve their competitiveness, so that colleges and universities and enterprises can be co-operative, transfering school knowledge to the enterprise.School and enterprise co-operation in China has achieved fruitful results since 1992, our government also pay more and more attention to co-operative, and formulated a series of relevant measures to guarantee the smooth progress of co-operative, and co-operative innovation has been one of important development strategy in our country. Under the background of a series of policies and measures, we can bold prediction that co-operative will be a very important form of future cooperation.Knowledge is the source of enterprise development, enterprises need to update knowledge constantly to ensure market competitiveness;otherwise school and enterprise co-operative is an important way for enterprise technology innovation, co-operative with the advantages of low cost, quick effect; But co-operative knowledge transfer effect has become the major issues facing the co-operative, because transfer effect is not ideal for many co-operative.Firstly,this paper define School and enterprise Co-operative、knowledge transfer, analyse research status quo and the theoretical basis of this paper;secondly put forward the knowledge transfer process model and the knowledge transfer affecting model;finally on the basis of this we put forward the hypothesis of this article, by the methods of literature investigation, questionnaire investigation and empirical analysis and other research methods to analyze research hypothesis. In the study the author tries to research the influence factors of knowledge transfer process of cooperation between production analysis results, clearing the main influence factors and secondary influence factors, according to the research result putting forward suggestions in how to improve the effect of co-operative knowledge.Through the study we found that co-operative knowledge transferring is affected by tacit knowledge-study,receptors-enterprises,knowledge receptors (fuzziness and embedded), the relationship as well as the transfer medium and feedback quality. Finally, through the empirical analysis research hypothesis, after validated by SPSS analysis, we can confirme that all research hypotheses of this article are all proved to be correct. Empirical study further found that knowledge embeddedness is the major impact, feedback quality and knowledge transfer ability followed, finally the relationship between distance and fuzzy knowledge. Finally according to the result of empirical research, a series of suggestions are putting forward to make school and enterprise co-operativein knowledge transfer better and faster. The models for rich co-operative theory, improve the effect of co-operative has very important theoretical significance.
