Study On The Corporate Governance Of NEOCHINA

With the rapid development of global economy in recent years,corporate governance has once again become the focus of the world.NEOCHINA is a real estate company listed on the main board of Hong Kong Exchanges,whose corporate governance is similar to other domestic private-owned ones.By carrying out the method of linking theory with practice, after studying related theories and models of corporate governance and analyze the current governance situation of NEOCHINA,the article points out such major problems as unreasonable share structure,lacking valid supervision and untimely information disclosure. And then the article put forward a series of solution,such as reducing the family-hold share proportion and breed institutional investors;improving independent director system; introducing external supervisor into internal supervision system;strengthening the supervision by public opinion;and improving the system of stimulation and restriction. Finally,the article makes an empirical analysis of those solutions as above,which may be of some reference value to other enterprises similar to it.
