As the development of IT and economic globalization, there are increasingly more products producing, circulating and consuming, and hence the logistics are becoming increasingly enormous and complex, however organization of and operation of the 1PL and 2PL has been inadequate for the demand. In contrast,3PL are playing an increasingly more significant role in establishing the core competence for the higher efficiency and lower cost, and thus the specialized and multi-functional 3PL is on great demand. As the development of IT and economic globalization, there are increasingly more products producing, circulating, consuming, and hence the logistics are becoming increasingly enormous and complex, however the traditional operation of the 1 PL and 2PL has been inadequate for the demand. In contrast,3PL is featured with higher efficiency and lower cost, and thus the specialized and multi-functional 3PL is on great demand for the market, enterprises and clients. As the key link in the 3PL, distributing covers all the activities of the logistics, and thus called miniature logistics. Well-organized distributing model tremendously reduces the cost of 3PL.This paper introduces the modern logistics in terms of concept, features and current situation with the focus on the distribution model and procedures of the 3PL. Secondly, through the analysis of discrete event dynamic systems leads out the advantages and features of Petri net as modeling tool, and a detailed introduction of the basic theory, rules and quality, and analytical methods. The core of the paper is to define object-oriented Petri net by embedding Petri net into object-oriented technology and to improve the systematical model; the last chapter of the paper builds a object-oriented Petri net model regarding the practical problems during the distribution based on a case study of a 3 PL company and conducts an analysis of the basic qualities and time quality, and then proposes practical suggestions to improve the efficiency. At last, it points out the shortage of the paper and proposes suggestions for improvement.
