| With the rapid development of market economy, Chinese enterprises are facing more and more pressure of competition. In order to survive in the fierce competitive environment, enterprises begin to form a union called chamber of commerce to set their decentralized power into a force to cope with the market challenges. At the same time, the government begins to realize that administrative management can’t solve problems of the market which are professional and changes constantly. This fact need chamber of commerce be independent from the government and have more rights to play its role of self-regulation. Some scholars discussed independence of from the government since a long time ago. They regard chamber of commerce as an independent legal person which is autonomous. But this theory isn’t written in the laws and regulations. On March 14 th, 2013, the 12 th session of the National People’s Congress for the first time passed the draft of transformation of the state council’s structure reform and function transformation. In the draft, there are explicit regulation related to decoupling between the government and chamber of commerce. The draft also demanded completing most of that task before the end of 2015. This brings advantageous outer environment for developing of chamber of commerce undoubtedly. However, the chamber of commerce must promote the ability of performing its own duty so as not to disappoint our government.This thesis includes three chapters:In the first chapter, I compare the chamber of commerce with the company in order to research the theory basis and the reality basis of the corporate governance of the chamber of Commerce.The second chapter analyses the current governance structure of the chamber of Commerce and problems it confronts combined the situation in China. It consists two parts. One is about the composition of the governance structure and the governance mechanism matching with it. The second chapter expounds problems of governance structure and reasons of them in the current social, legal, economic and cultural background.The third chapter is the most important one in this thesis. It expounds several advises of improving the governance structure of chamber of commerce. It comprises improvement of the internal organization and the governance mechanism and conception of regulating the chamber of commerce by special law, including legislation mode of chamber of commerce and content of the law. The aim of it is completing internal and external development conditions for chamber of commerce. Finally, making the chamber of commerce stronger and then to fufills its duty of serving the market economy. |
