As the biggest financial merger in our country’s financial history, the M&A case of Shenzhen development bank by Ping An Insurance Group is also a landmark event which proclaims the process of separate operation to mixed operation in our country. Meanwhile, it is also a new trail of merges for a new type of financial holding group. Adapting the method of case analysis, this essay has carried on comprehensive research and analysis to study this case, which includes the analysis of the motivation, used skills in the process of M&A, synergy analysis of the M&A(financial synergy, management synergy, management synergy),also the impacts of the M&A. Therefore, we can verdict it’s a relatively successful M&A case through the synergistic effect, despite the flaws in our current financial regulatory state. What’s more, the literature research conducted can also provide theoretical basis for further M&A synergy effect.We can lead to the fact that it is a better commercial decision by comparing the case of Ping an Group to New bridge Capital on equity exchange strategy. During the analysis of the effect of the M&A, firstly we are introduced briefly to advanced models at home and abroad, then further study in this case carried confirms the synergies and provides related analysis basis. As for the implications and advice, the experience of other countries can be of assistance, also we can learn a lesson from the analysis of the characteristics of the new financial holding company through the M&A of Ping an Group and Shenzhen bank.
