Since the1960s, with the exposure of the defects existing in traditional Anglo-American corporate governance model, as well as the stakeholder theory, the human nature assumption theory, economic theory of democracy, and democracy corporations theory is put forward, the role of employees in corporate governance growing at the same time, the employee involvement in the practice of improving corporate governance structure, improve company economic benefit, ease labor relations, protect workers’ interests positive significance for companies around the world attention. Employees participate in corporate governance has become a common phenomenon in current practices around the company running. Employees as stakeholders participate in corporate governance, in many western countries have, as a kind of system was established. Typical employees such as Germany’s lifetime employment system, Japan, Britain and the employee stock ownership plan etc.Enterprise employee involvement is a hot topic in today’s domestic and foreign theorists and the business problem. Current studies many employees participate in corporate governance role of literature, research on employees participate in corporate governance factors, domestic is mainly based on the legal perspective, the organization and personal aspects of the research is not enough, and rarely for empirical research. In this paper, both at home and abroad about employee involvement on the basis of literature research, the influence factors of employee participation in corporate governance of listed companies has carried on the empirical research.In this paper, through empirical study, the effect factors of employee participation in corporate governance is for data collection, sort out to collect269listed companies, using the descriptive statistics analysis, variance analysis and multiple regression analysis method, concluded that affect employee participation in corporate governance is positive, negative and uncertain factors, the influence degree of each factor is determined. On the analysis of the influence factors of employee involvement and the empirical results in this paper on the basis of the enterprise how to improve employee engagement puts forward several countermeasures are suggested. Help enterprise to improve the employee participation in corporate governance status quo, to find a suitable for China’s national conditions of employees participate in corporate governance model. Compared with other related articles, this paper studies from the perspective of management, personal features, organization and external environment of three dimensions, the effect factors of employee participation in corporate governance has carried on the empirical study, has the certain innovation significance in theory, for the company’s employees to participate in the management also to have certain practice guiding sense. In this article, at the same time, however, there is sample range of defect, hope in the later study can be further improved.
