The company is one of the most important organizational in modern economy society, and its influence is increasing. But at the same time, the company also has a social nature. With the development of economy, On the one hand, company promote the development of the society, on the other hand company also has some negative effects on society. Company blindly pursue their own maximum profit, and ignore its responsibility to society, which leads to a series of problems. Related to all aspects of daily life, such as food safety, environmental pollution, harm of labor contract rights issues and so on. So with more and more influence on the company negative behavior, the corporate social responsibility also need public attention. However, corporate social responsibility is to let the public disappointed, therefore actively promote the fulfillment of corporate social responsibility is the real needs of the community. Although the company law of our country demands for corporate social responsibility related provisions, but these Provisions are not enough, not to encourage companies to undertake the legal level of social responsibility. Based on this, the relevant provisions of the "company law" in the study, find out the existing problems, and its complement, perfect, legal advice, make the company law in the corporate social responsibility shall be perfect, and to promote social responsibility company.In this article, in addition to the introduction and conclusion altogether four parts. The first part of the whole of the corporate social responsibility are outlined, respectively expounds the concept, nature and content of corporate social responsibility.The second part introduces the current situation of the foreign company legislation on corporate social responsibility, focusing on the state of these three American, German and Japanese legislative status in corporate social responsibility, in order to provide some reference suggestions to perfect our company law provisions of the corporate social responsibility.The third part is mainly through the introduction of China’s "company law" in the provisions on corporate social responsibility, and then analyzes some problems existing in legal provisions of these. Mainly analyzes the social responsibility clause, general staff of the board of directors and supervisors, the worker’s rights, the security system, the creditor protection system, the independent director system and the information disclosure system in these aspects.The perfect fourth part mainly focuses on the study of legal regulation of corporate social responsibility in China’s "company law". Through introduce three parts of the study, now I want to improve the relevant regulations and give some corresponding suggestions.
