Since the company system which has been produced in Europe and the Italian coast, from the earliest Commenda organization to today's joint-stock limited liability company ,the company has lasted for hundreds of years, it has become the most important economic subjects in amodern society. The company's emergence and development promote economic development, improve people's living standards and social progress, play a crucial role in today's global economic integration process. However, with the growing strength of mordern company, the company's behavior to the interests of the subjects involved in more and more impact on the community is also growing. So they created a problem: while the company in the pursuit of maximizing shareholder value, is it not also consider the interests among the shareholders but also the other persons'? Should the company, the user of social resources, also be back to society? Corporate social responsibility emerged associated with these problems.The concept of corporate social responsibility was made as early as 1924 by the United States, Shelton (Oliver Sheldon). Since then, many scholars at home and abroad started the study of social responsibility theory from the sociology, economics, and legal point of view to improve corporate social responsibility theory. At the same time in the world, national legislation and judicial practice, also put the company's social responsibility as a legal responsibility to regulate the company in the pursuit of the maximation interests of shareholders, also protecting and enhancing the stakeholders.'Interests.This paper is divided into five chapters.
