| Titanium Dioxide Industry in China after nearly a decade of vigorous development, the total output has been ranked second in the world. But many enterprises are small and industry development expense of the environment. The arbitrary disposal of the spent acid, waste water, and ferrous, had seriously damaged to the water resources. Only after the spent acid, waste water and ferrous has been effectively dealed with, and the path of the resource to achieve cleaner production and energy production has been taken, will the titanium dioxide business achieve sustainable development. Through mergers and acquisitions, large-scale and intensive development, is an important way to promote energy production and clean production of titanium dioxide business, but also the inevitable trend of development of the industry. How to seize the industry development opportunities, the combination of their own advantages to the industry development, the enterprise merger and acquisition, avoid risk, take effective measures of integration, which is the subject of study.In this paper, M&A integration theory has been used to research firm M&A integration process in the motives and integration measures. On this basis, the program and M&A integration measures about Hunan Yongli Chemical Co., Ltd. M&A Hengyang Tianyou Chemical Co., Ltd. has been studied. And the background and the motives of both sides to reach the merger and reorganization agreement, risk control of M&A program and post-merger integration strategy, personnel, management, culture, financial measures have all been analyzed. The summary of the the successful merger integration experience has guiding significance to Hunan Yongli Chemical Co., Ltd. through mergers and acquisitions and capital operation enterprise do actor strong and has a certain significance. |
