More and More Chinese corporations have been involving in the merges and acquisitions, which making acquisitions an ideal option for many companies to enhance their ownership structure and share restructuring. Aiming at cultivate and develop30-50large international groups, the restructuring of sino-companies is starting, and the merges and acquisitions of sino-companies are undergoing. However, we regret to see most of the cases of acquisitions failed while the value of the casing is astonishing. According to related surveys, culture is the No.1factor that causes the failure of the merges and acquisitions. Culture integration, as a spirit power that unites and motivates employees, is vital for the merges and acquisitions. Hence, the study of culture integration in merges and acquisitions is getting more and more attentions from researchers.The thesis focuses on the case study of G company. It analyzes the cultural characters of G company during the merges and acquisitions. It depicts the process of G company’s merge and acquisition process, as well as the cooperate culture of G company and D company which is acquired respectively. It defines the cultural integration model of G company via analyzing the cases and reasons of cultural conflicts during the merge and acquisition. Hence, it comes up with a cultural integration solution for merge and acquisition by G company as a key outcome, regarding to the existing problems of G company’s corporate culture. The solution includes the objectives, the principles, the process and the action plan of the cultural integration. In the end, it brings up the implementation approaches and key points to be alerted of G company’s cultural integration solution.The problems that G company has in its cultural integration is common for those Chinese companies in the Telecommunications industry. Studying and solving these problems is valuable for G company to improve its merges and acquisitions, as well as for similar companies to enhance its cultural integrations during the merges and acquisitions. And hopefully other state-owned companies could learn from the case on the cultural integration too.
