| Corporate Social Responsibility (CSR) has become a hot social concern in recent years. Corporate philanthropy, as an important form of the Corporate Social Responsibility, also begins to attract the attention of domestic scholars. The board of directors is the core status in the corporate government structure, and plays a decisive role in some important decisions such as corporate philanthropy. What kinds of factors about the board may influence the corporate philanthropy? So, what are those factors'influences on corporate philanthropy? The author tries to answer these questions in this paper.The author takes 300 companies from Shanghai-Shenzhen 300 index established by Shanghai Stock Exchange and Shenzhen Stock Exchange as research samples, and I collects and sorts out the donation and the data about the board from corporate annual report 2008-2010. Furthermore, the author consults the research results of scholars at home and abroad, and adopts the theoretical research and empirical analysis methods. Finally, the author comes to the following conclusions:(1) In the two variables about the characteristics of the directors, the proportion of directors with a political background and corporate philanthropy has significant positive correlation, while the relationship between the cultural degree of directors and corporate philanthropy is not significant.(2) In the four variables about the structure of board of directors, the size of the board, as well as, has significant positive correlation with corporate philanthropy, but the proportion of the independent directors, as well as the proportion of women directors, has not significant positive correlation with corporate philanthropy.(3) The motivate mechanism of board has not significant correlation with corporate philanthropy, which means that the stock-keeping ratio of board, as well as the salary of directors, has not significant correlation with corporate philanthropy.Innovations of this paper are as follows:First, the author uses the average data during 2008-2010 in the model, reducing the impact of contingent factors, such as catastrophic events, on the corporate philanthropy. Compared with the study only on the background of disaster, the conclusion has more strong persuasion and stability.Second, the author studies the influence of the directors with political background and female directors, except the controversial factors, such as the size of the board, independent directors, the Incentive of directors and so on. In addition, there are many studies on the directors with political background and female directors abroad, but little research in China.Third, the author analyses the significant positive correlation between the political background of the directors and corporate philanthropy, using the system theory and resources dependence theory, Furthermore, I makes some probable explanations. In addition, the author explores relationship between female directors and corporate philanthropy, although the result is not significant, but I give some probable explanations combining with the existing related research on female directors. |
