After nearly three decades'development of private enterprise, it has formed a large scale which plays an important role with the increasing proportion in GDP. Private economy has already made the main component of socialist market economy. Under the environment of reforming and opening and market economy in Chinese society which has brought such a huge opportunity for development, however, the private enterprises are still obsessing with declining tendency of the "short life". From Zhuhai Giants, Jinan Sanzhu, to Shenyang Feilong, etc, all of these companies are just a flash in the pan. Aside the factors of competition, industrial restructuring and other externals, the lack of good corporate culture is one of the root causes of business failure.In this paper, there is a lot browsing and research on the information of private enterprises in China, which summarizes and analyses the theory of corporate culture at home and abroad, to discuss the useful attempts to the building of enterprise culture at domestic and overseas. Compared the difference of care degree to the enterprise-culture building in China with overseas', to seriously analysis the common issues on the cultural construction of small and medium private enterprises, such as unconscious on culture construction with strong utilitarian; the form of cultural construction lacking connotation; lacking the application and excavating to the traditional culture; lacking dynamic adjustment and internal management; lacking value view of human management and other issues. To solve these problems with using comparative studies, qualitative analysis and quantitative analysis, case studies and other methods, combining with the actual operation of the cultural reconstruction of XX Co., Ltd., from fostering corporate philosophy and good corporate values, creating their own corporate culture system which consistent with development needs, and deepen the corporate culture with core content as people oriented, using scientific means to protect private enterprise culture is effective and has fully excavated the essence of traditional culture, to put forward a number of corresponding solutions to improve and maintain the stability of internal environment of the corporate culture, which provides the effective theory and practical operation experience for cultural construction of the small and medium private enterprises in China. Hopefully through the strengthening of enterprise-cultural-construction, which could be transformed into the business productivity, to promote the small and medium private enterprises to become bigger and stronger, to make greater contribution to the brisk and prosperous socialist market economy...
