Cross-Border Mergers and Acquisitions (M&A), which has led to the transnational multinational enterprises from home to abroad, are the extension of M&A. At the background of economic globalization, Cross-Border M&A has become the important activity of the multinational corporation and main theme of FDI. It is a hot topic for global M&A that Chinese enterprises go abroad for Cross-Border M&A in 2005.This thesis, mainly based on the Cross-Border M&A of BenQ, explains the content of this case, meanwhile, it focuses on the theoretical analysis in Cross-Border M&A of BenQ. Refering to a lot of parts, such as incentive of the Cross-Border M&A, target getting, target estimating etc. together with the problems arising during the course of integration of after M&A, it tries to explore the causes of the problems, further to find out some revelations of this Cross-Border M&A, and last with the aid of correlative theories to puts forward some practical solution to the problems and to give some advice to Chinese Cross-Border M&A. According to that, the whole paper consists of four parts as follows: Part One is the preface. It introduces the research reason and meaning. Meanwhile, it refers to some correlative theories of Cross-Border M&A, and takes the first step for the ideas which are analyzed in the following parts.Part Two, form a real case of BenQ acquisition Siemens's Mobile. The whole Cross-Border M&A process is introduced and analyzed. As a young ODM producer in Mobile industry, the history of BenQ is about 20 years. The BenQ lacks the essential chance of globalization, although he is not bad in many field. Through the M&A contact, Siemens helps the BenQ stand on the stage of the Europe mobile market.
