High-tech enterprises depend on impersonal capital less than human capital. The human capital heterogeneity, Specificity and from this team nature which derived and property right had decided the human capital that had the enormous value creation ability and undertakes the risk ability. Therefore if we embark merely from the traditional enterprise theory and still implements "the capital hires the works" the property rights assignment method in the high-tech enterprise, it will dampen enormously the human capital enthusiasm and will bring the enterprise benefit loss. In recent years, some scholars proposed the human capital share enterprise property rights viewpoint.This article further illuminate the human capital participates in the high tech enterprise governing, with the impersonal capital share enterprise property rights which based on the theory and the real diagnosis in these research foundations. It conforms to the theory logic of enterprise governs and realistic need. Enterprise is contracts through gambling between human capital and impersonal capital based on independent property right. In a enterprise there human capital and impersonal capital only have different on quantity but not different on quality. Enterprise property right arrangements lie on the negotiation power of human capital and impersonal capital in gambling. The negotiation powers are mainly decided by the contribution to enterprises, factors rare, the cost of drop out enterprise and the ability to bear enterprise's risk. Through effective enterprise system arrangement, human capital and impersonal capital exert the negotiation power on the same level, according to this to determine the arrangement of enterprise property, through this way high-tech enterprise govern is special efficiency. In the demonstration research of high-tech enterprise governs, the thesis selects the Xi'an representative 13 high-tech enterprises, carries on the inspection from 5 dimensions, withdraws the main variable after the obtained data factor analysis, correlation analysis and regression analysis choosing human capital factors to satisfaction factors, specialization factors, performance factors, participation factors, and specialization factors to satisfaction factors, performance factors and participation factors.
