In our country, the problem of motivating managers of large in public company is always the focus of the society. In recent years, the government has enhanced the governance of this problem with a series of laws and regulations coming out.Form the demonstration, this paper is on the foundation of relative foreign theory and certain research fruit of the inner scholars, and brings forward correlative reference frame for the setup of motivating mechanism. After analyzing the decisive factors of Top manager's pay in public company. Generally, further more, this paper descriptively analyses the management performance, company scale, the structure of stock ownership and IOS etc. And check up the relativity and relative extent between the factors above and the Top manger's pay through establishing the model of pay level.It is proved that "the pay-outstanding achievement contract" has already come into being commonly; the company scale and development potential have notable positive expectation pay level; however, the proportion of statement stock has very notable negative effect on pay level; meanwhile, the relation among centralized degree of stock ownership. The proportion of stock ownership owed by Top manager and pay level is not notable, this reflects that the highly centralized stock ownership doesn't result in satisfied result to managers, and stock ownership owed by Top manager doesn't archive the expectant meditative result. This paper introduces the IOS factor especially, explaining the relationship between Top manager's pay and the company's development potential; and reflecting the motivating effect of present pay level to the long period management decision of Top manager is very feeble. Besides, the industrial difference is still has notable effect on Top manager's pay, but this effect is becoming less and less. The Top manager's pay in eastern region is notably higher than is central and western region, while there is almost no difference of Top manager's pay between central and western.In the end, this paper brings forward notified suggestions accelerating to the anglicized result above.
