This paper discuss the theroy and practice of governance of board of directors of banks. In the recent years,with the happenines of world finiancial crisis,much attention has beng attached into the corporate governance of bank.The governance of board of directors is the most important part of corporate governance of bank .After reviewing the major governance concepts for corporate governance and board of directors governance in general, this paper discuss the special attributs of corporate governance of bank. Next, this paper reviews the governance of boards of directors of bank from the ascept of board size ,board structure and board independence.In the next part,this paper discuss the present situation of the governance of board of directors of commercial banks in china .After reviewing the governing situation and weakenes of governance of board of directors of commercial bank of China ,this paper point out several method of reforming the governance of board of directors for china's stateowned commercial banks jointstock commercial banks and local commercial banks.
