Study Of Knowledge-based Enterprise Human Capital, Property Characteristics And Property Arrangements

As for the human capital value, it weights mostly on the development of knowledge companies, so the position of carriers of human capital, that is, the employees of the companies should take greater advantages than the material capital carriers on the companies' benefits. Because of this relationship, the ownership of the companies should be designed to meet the tendency.On the basis of existing literatures, this thesis establishes an analytical framework, that is, from the analysis of knowledge company's human capital management model, to the analysis of human capital property rights characteristics, which decides the property rights arrangement.When it comes to analyze the human capital management model, this thesis explores the connotation of knowledge company, the features of knowledge company employees, the comparison of human capital management between knowledge company and traditional company. After that, this thesis provides the kind of company's operational model: with the combination of human capital and material capital, the knowledge capital emerges and servers to produce the knowledge products.Through the model analysis, this thesis digs out the characteristics of human capital property rights: as for the contractual features, the human capital property right shows the characters of imperfect contract and psychological contract significantly; as for the right function structure, it reflects its increment and assemble characters; as for the operational features, it emphasizes the lagging-value performance; and as for the separable character, according to the growth tracks of the human capital, it is studied according to two different phrases: it is separable at the premature period and it is non-separable at the matured period; at last, as for the mortgagabal character, because of its specification features and the high cost of transferring the owner's position, the human capital has high ability of mortgage.Under the requirement of the human capital property right characteristics, this thesis gives the property rights arrangement, which is induced from two aspects: the distinction of property rights and the arrangement of company ownership. As for the distinction of property rights, the common property should be cancelled; as for the arrangement of ownership, the most suitable property right arrangement should be based on the measurement of contribution of two properties, and then allocates the residual claim rights and control rights according to the measurement results, that is, the knowledge companies ownership should be shared by the owners of human capital and the owners of the material capital.
